Terms of Service

Welcome to Abhiyank. These Terms of Service ("Terms") govern the freelance web development, digital growth consultancy, and software engineering services provided by Abhiyank Mishra ("we", "us", "our"). By engaging our services, you ("Client", "you") agree to be bound by these Terms.
1. Acceptance & Engagement
A project agreement is established when the Client accepts a project proposal, scope document, or invoice. The scope of deliverables, timelines, and costs will be outlined in a separate project proposal or agreement. Any additional requests outside the initial scope will be billed separately.
2. Payment Terms
Payments are structured on an advance and milestone basis as outlined in the invoice or proposal. An advance payment (typically 30% to 50%) is required before starting. Milestone payments are due immediately upon the completion and approval of each phase. Full balance payments must be cleared before the final code delivery, site deployment, or credential handovers.
3. Timelines & Client Responsibilities
We make reasonable efforts to complete deliverables on schedule. However, project timelines are highly dependent on the Client providing necessary assets (images, copy, credentials, etc.) and prompt feedback. Delays in providing these items or approvals will result in proportional extensions of project delivery dates.
4. Intellectual Property & Ownership
All source code, designs, and digital assets developed during a project remain the intellectual property of Abhiyank Mishra until full payment is cleared. Upon receipt of final payment, ownership and intellectual property rights of the custom code and assets transfer entirely to the Client. We reserve the right to showcase the completed work and name in our design portfolio.
5. Limitation of Liability
We deliver services "as is" and make no warranties of any kind regarding continuous uptime or third-party API stability. We shall not be liable for any indirect, incidental, or consequential damages (including loss of business profits or data). In all cases, our maximum aggregate liability is strictly capped at the total amount paid by the Client for that specific project.
6. Governing Law & Jurisdiction
These Terms of Service and any project agreements are governed by and construed in accordance with the laws of India. Any legal disputes or claims arising out of or related to our services will be subject to the exclusive jurisdiction of the courts in Mathura, Uttar Pradesh, India.
